Terms of Service

1. The Services

Rainmaker Accelerator connects people interested in auto detailing and related services with independent service providers, and provides those service providers with a software platform for managing leads, conversations, scheduling, and billing. Service providers are independent businesses; they are not our employees or agents, and we are not a party to any agreement between you and a service provider for the performance of detailing services.

3. Accounts

Service providers who use our platform must provide accurate account information, keep it up to date, and keep their login credentials secure. You are responsible for activity that occurs under your account. We may suspend or terminate accounts that violate these Terms or put the Services at risk.

4. Payments and Billing

Paid features of our platform are billed according to the pricing and billing terms presented to you when you subscribe or agree to a plan. Payments are processed by our payment processor, Stripe. By providing a payment method, you authorize us and Stripe to charge it for the amounts you have agreed to, and you agree to keep a valid payment method on file while you have an active plan.

If you choose to connect a bank or financial account through Stripe Financial Connections, that connection and the data we receive from it are described in our Privacy Policy. Except where required by law, fees are non-refundable. We may change pricing prospectively with reasonable advance notice.

5. Acceptable Use

You agree not to:

• Use the Services for any unlawful purpose or in violation of any applicable law or regulation
• Send spam, unsolicited messages, or content that is abusive, fraudulent, or deceptive through the Services
• Interfere with, disrupt, or attempt to gain unauthorized access to the Services or their systems
• Copy, resell, or reverse engineer the Services except as permitted by law
• Misrepresent your identity or your business

6. Intellectual Property

The Services, including their software, design, text, and branding, are owned by Rainmaker or its licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the Services for their intended purpose. You retain ownership of the content and data you submit to the Services and grant us a license to use it as needed to provide the Services.

7. Disclaimers

The Services are provided “as is” and “as available,” without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or secure, or that any results (including business or revenue outcomes) will be achieved. Detailing services arranged through the Services are performed by independent service providers, and we make no warranties about their work.

8. Limitation of Liability

To the maximum extent permitted by law, Rainmaker will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data, arising out of or related to the Services. To the maximum extent permitted by law, our total liability for any claim arising out of or relating to the Services will not exceed the greater of one hundred dollars ($100) or the amounts you paid us for the Services in the twelve months before the claim arose. Some jurisdictions do not allow certain limitations, so some of these limitations may not apply to you.

9. Termination

You may stop using the Services at any time. We may suspend or terminate your access to the Services at any time for violation of these Terms, risk to the Services or other users, or discontinuation of the Services. Sections of these Terms that by their nature should survive termination (including Sections 6–10) will survive.

10. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, without regard to conflict of laws principles. You agree to first contact us and attempt in good faith to resolve any dispute informally before pursuing other remedies.

11. Changes to These Terms

We may update these Terms from time to time. The effective date at the top of this page will reflect the most recent revision. Continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
